CFO-led acquisitions and M&A readiness.

We buy essential-services companies in Texas and the Mountain West and run them with Kingdom values, as stewards of what their owners built.

We also help business owners nationwide prepare for major liquidity events. We know what the buy side is looking for, and we help owners maximize their enterprise value.

Every conversation is confidential, and you do not need to send anything to start.

Companies we buy and run

We buy majority stakes in essential-services companies with $2 million to $5 million of EBITDA, starting in Texas and the Mountain West. See what we look for and what we promise owners.

Acquisitions

We buy companies and keep running them

If you built an essential-services company and are thinking about what comes next, we would like to talk early, with or without an advisor in the room. We buy majority stakes, install a general manager or CEO, keep the team, and hold. We have no deadline to pass the company along, and it keeps its people and the way it works. If one of our investors needs liquidity, we arrange for that stake to change hands and keep leadership and strategy in place.

What we buy

Control
Majority or 100 percent; founders and key managers welcome to roll a stake
Size
$2 million to $5 million of EBITDA for a platform; $1 million and up considered as an add-on; enterprise value $10 million to $50 million
Industries
Government services contractors; B2B essential services, light industrial services, light manufacturing; other essential services on their merits
Geography
Texas and the Mountain West first; remote-operable companies anywhere in the US
Situations
Owner transitions and retirements, succession gaps, carve-outs, and processes that stalled or broke
What we do not buy
Turnarounds, founder-technical businesses that cannot be run by an installed leader, companies whose value is a single contract or a single customer above 40 percent of revenue

What an owner can hold us to

An owner grants exclusivity to one buyer when the letter of intent is signed. Four things earn it.

Speed

We answer a teaser within two business days. If we are not a buyer, that reply says so. An indication of interest follows within ten business days of a CIM. Letter of intent to close is about ninety days.

Certainty

The equity is engaged before any letter of intent, from investors who backed our prior acquisition and have asked to back the next. Senior debt comes from relationship lenders; seller notes and rollover equity are welcome. The financial diligence is ours, done in-house, so the timetable does not wait on a third party’s report.

A leader you would choose

We install a general manager or CEO with a shepherd’s heart and a skilled hand, someone who can run the company well and who cares about the people in it. The team stays.

One price

The number in our letter is one we have underwritten and intend to close at. If diligence turns up something neither side knew, we say so the week we find it and talk about it then, not in the last ten days.

How we underwrite

Three to four weeks from data access to findings, done by us: the person who signs the letter is the person who reads the bank statements.

  • Quality of earnings analysis, with every add-back accepted, rejected, or adjusted on evidence.
  • Working capital by month, and the target for closing.
  • Cash, tied from the bank statements to the books.
  • Customer concentration, and the terms of the biggest contracts.

We pay for what the company earns today.

After close

Voyage runs the finance function and the plan alongside the leader, and the people who built the company keep running it. The first months go to the books and the people. We set up a reliable monthly close, track cash and working capital by month, and give the general manager and the lender one shared KPI report. The customer and vendor relationships the owner built stay in place. We run the company with Kingdom values, and our Values page explains what that means.

Exit Readiness

See your company the way a buyer’s team will, before they do

With Exit Readiness, we run the same diligence a buyer’s or a lender’s team will run on your company. We do it first, and we work for you. Whatever is ahead, an exit, a recapitalization, a refinancing, a partner buy-in, or a transfer to the next generation, their team tests the same twelve things. We find each one, show what it is worth in enterprise value, fix what can be fixed, and document what cannot, so you keep the value you built.

The work does not disrupt the business. We need read-only access to your books and four working sessions with you, and no one sees the data room until you decide. Prices usually move after the handshake for three reasons: a working capital target that does not hold up against monthly data, an add-back the owner assumed would stand, and too much revenue in too few customers. We settle each of those before anyone asks.

Who it is for

Owners of companies with $3 million to $30 million of revenue who expect to transact within one to three years, or who already have inbound interest. Any industry. If your company is also one Voyage might buy, we tell you on the first call. You choose which conversation to have, and we do not do both.

What you get

  • The readiness scorecard: the twelve things a diligence team tests, each scored, each priced in enterprise value, each with a fix list.
  • Normalized earnings for three years plus the trailing twelve months, with a document behind every add-back.
  • Cash proven to the bank statements, and working capital by month with an indicative target.
  • Revenue quality: concentration, retention, contract terms.
  • A data room built the way diligence teams work, with your one-page financial story and a management presentation draft.
  • An indicative value range from market multiples, and the gap between it and the number you have in mind.

How it runs

  1. Snapshot, at no cost

Connect your books read-only (QuickBooks Online or Xero), share three years of tax returns, and answer twenty questions. Within five business days, a one-hour readback: the first-pass scorecard, the headline risks, your tier and fee, and a plain answer on whether the work is worth doing.
  2. Readiness, ten to twelve weeks

The full diligence work, done for you, in four working sessions. Voyage fixes what sits in the financial domain and specifies, prices, and tracks the tax, legal, and operating items with your CPA and counsel.
  3. Continuity, after

A monthly KPI pack and readiness re-score, the data room kept current, one call a month, and help sorting any inbound interest. Month to month.

Our reports are financial due diligence analyses, shared on a non-reliance basis. They do not replace the other side’s own diligence.

About

We do the work ourselves, and we stay

Voyage buys essential-services companies and runs them. We are a small firm, and we do the financial work on every company we buy or prepare ourselves.

Brian Anderson

Brian is a CFO and transaction finance professional. He founded and led Voyage Partners, a successful search fund producing outsized returns for its investors. Since then he has served as CEO, CFO, and transaction finance lead for owner-led companies, nonprofits, and investor-backed businesses.

A graduate of the US Naval Academy, he served as a Naval Special Operations officer before moving into private equity, and he holds an MBA from Kellogg. He lives in Waco, Texas, with his beautiful wife and six kids.

Kingdom values

When we say “Kingdom values,” we mean running a company so that the character of God shows up in how it treats people: the people who work in it, the customers it serves, the vendors it pays, and the town it sits in. We do not see business as a distraction from that aim. A company run well is one of the main ways it happens.

Five values say what we mean: Treasure in Two Places, Leave the Edges, Honest Scales, Serve Them Today, and Search It Out. Our Values page sets out each one in full, with the Scripture it stands on.

We do not ask what anyone believes in order to work for us, buy from us, or do business with us. The measure is whether the people in the business are better off for our having been there. The books show most of it: how people are paid, how vendors are treated, how prices are set, what the company gives.

What Voyage is not

  • We are not a CPA firm. Our work is financial due diligence, shared on a non-reliance basis, and it never replaces a buyer’s or a lender’s own diligence.
  • We are not a business broker. We take no success fees and do not run a process for anyone.
  • We do not consult on the side. When we buy a company, we run it.
